I vote for VirtualDubMod + 3ivx + faac + mp4box
It takes multiple steps but I think the results are worth it...
Plus all the components are free
Check out some Seinfeld

Let me know what you think of the encoding

Well, I even do a multi-pass decoding:
first, I demux video m2v and audio ac3 with DVDdecrypter;
then, convert ac3 to wav with PX3Convert;
then import m2v and wav in Vdub, and use 2:1 reduction (high quality) 2 times (with some cropping);
I save avi:
-video: compression Divx4.11 at 512 Kb/s; frame rate decimate by 2
-audio: 24000Hz stereo High quality; no compression or lame compression;
final I convert avi to mp4 with MPEGable x4 live (232Kb/s video and 56Kb/s audio).
With Nero recode or ImToo MPEG I get an annoying audio/video deelay for videos bigger than 30 minutes.

is that worth enough?? I mean, all that encoding parts? How big is a video of 30 min?

@ CiberKnight:
Yes, I think is worth, because "one shoot" converter like Nero Recode or ImToo MPEG cause an annoying audio/video delay if the source is too big.
By my multipass conversion, I create a complete "South Park - The Movie" DVD (1h:18') in 125Mb MP4 stream, without delay.... instead, Nero Recode and ImToo MPEG failed to syncronize audio and video after about 30 minutes.
I use 232 Kb/s video and 56 Kb/s audio and "near costant bitrate", so 30 min. are about 63Mb, but will be more or less due to "near costant bitrate" option.
@leviath: Ok, but Multimedia converter only do 3gp files (or do MP4 too ??? ).
