try SUPER is free, and de defaults setting are just enough quality.

Make sure you select AAC (or something else) as the audio codec and not AMR.
AMR encodes only to low-quality audio streams.
You can also use one of the programs suggested above...

i try mpeg4aac format for audio
xilosoft is the best converter
