Software on its own are applications that run on (using) the firmware.
A simple likeness is Windows XP and MS Office: where WinXP is the firmware and MS Office is the software.

To be completely pedantic, hardware is the iron... i.e. the physical bits that go to make up your computer/phone/pda. Software is code that you can load onto the device to do stuff. Firmware is stuff that's stuck in the middle... software that's inside hardware. Anything on ROM or EPROM would be firmware, even if it's an app.

so......... in the case of a phone, the upgrade is to the 'software' right (the phone OS??) so in theory upgrades should be possible accordign to what voda-jon said??
