setting up lan is easy
if u want to share net on lan than 1 of the pc should have 2 lan card
set the ip in this range
10.40.35.2
masknet 255.255.2550
gateway 10.40.35.1
2nd pc
10.40.35.3
masknet 255.255.2550
gateway 10.40.35.1
now install proxy and enjoy net on all pc.

me thinks using xp internet connection sharing is more easier than using a separate proxy, that's what i'm using now.

i connected the 2 PCs with ethernet cable.then,as blu said,in network conn,i choose setup small home/office network...then i get 3 options..this pc connects to internet/other pc connects to internet/other...which should i choose?
and how do i test transfering files from 1 pc to another?
Whats the relation between lan conn and my net connection?i disabled lan conn and my conn to net was disconn.

on the pc which has the internet connection, u should choose "connects directly to the internet." On the second computer, choose "this computer connects through a residential gateway."
In this pic, Home is my local LAN and Asianet is my internet connection. Notice the hand under Asianet, which means that it is being shared.
