i would use container: mp4
video: mpeg-4; 320x240; 4:3; 25 fps; 240-288 kbps
audio; aac; 48k, stereo; 112-128 kbps
(using super)
i know a bit about audio/video encoding though i don't have uiq3 enabled device to test it. anyway, you can have some small clip or cut a piece from the large one using nandub (remember to set video->direct stream copy) and test it. the file size should be kinda 1/3 of original.

Indiandawg, you get any error? if you don't mind doing this, you could split the file to two same length chunks and encode them separately - you would get two files, which may be around 1MB bigger than if they were one (due to video clip/codec metadata and headers) but instead you would get easier management of these (i mean ff/rwd) and well, they would encode easile i suppose

to split the clip:
download and extract: http://prdownloads.sourceforge.net/ndub/nandub-binary-1.0rc2.rar
open nandub
open video file
click [mark in] - visualised to left in the picture attached
move the slider to the middle position (or use edit->move to/go to)
click [mark out] - the part between start and end would be highlited in blue
make sure that audio and video are set to "direct stream copy" in appropriate menus
File->Save as AVI and name file like part1.avi
Edit->Move to selection end
[mark in]
Edit->Move to end
[mark out]
File->Save as AVI and save part2.avi

if necessary, you may also split file into more chunks
if you have any problems feel free to ask

[mark in] and [mark out] buttons:
